MASTER TERMS OF ENGAGEMENT, CODE OF CONDUCT, AND OPERATIONAL POLICIES

Jurisdiction: People’s Republic of Bangladesh

SECTION 1: PREAMBLE AND BINDING AGREEMENT

1.1. Acceptance of Terms. By accepting an offer of engagement, signing an onboarding form, accessing internal digital workspaces (including but not limited to WhatsApp groups, Trello boards, Slack channels, Google Workspace, and project repositories), or performing any tasks on behalf of Project Youth ("Organization"), you ("Personnel," "Member," "Intern," or "Remote Agent") agree to be unconditionally bound by these Master Terms of Engagement ("Terms").

1.2. Modification Rights. The Management of Project Youth reserves the sole, absolute, and unchallengeable right to modify, amend, add, or delete any provision of these Terms at any time without prior individualized notice. Continued participation in any capacity following any update constitutes full acceptance of the revised Terms.

1.3. Precedence. These Terms supersede any prior verbal or written statements, promises, informal guidelines, or casual communications made by any member of Project Youth, including founders, project leads, or administrative staff.

SECTION 2: CLASSIFICATION OF PERSONNEL

2.1. Core Members and Interns.

  • Scope: Appointed for structured training, leadership development, operational execution, and management of internal projects.

  • Duration: Standard internship programs run for a strict minimum duration of six (6) consecutive calendar months.

  • Benefits Conditionality: Issuance of completion certificates, official letters of recommendation, corporate references, and career support services are strictly conditional upon the flawless completion of the entire tenure as determined by Management.

2.2. Remote Agents and Task-Based Personnel.

  • Scope: Engaged on a non-exclusive, independent, task-by-task, or contract-based basis for specialized operational ventures, external client deliverables, or temporary projects.

  • Exclusions: Remote Agents are strictly independent contractors. They are not eligible for employee benefits, formal corporate credentials, institutional recommendation letters, or internship completion certificates unless explicit written terms are executed in advance by Management.

2.3. No Employment Relationship. Nothing in these Terms shall be construed to create a permanent employment relationship, joint venture, agency, or partnership between Project Youth and any Personnel, unless explicitly executed via a formal, sealed Employment Contract signed by the Founder/Management.

SECTION 3: AT-WILL ENGAGEMENT AND RIGHT TO TERMINATE

3.1. At-Will Status. Engagement with Project Youth is strictly at-will. Management reserves the explicit, unilateral right to terminate the status, access, and contract of any Personnel at any time, for any reason or no reason, with or without prior warning, notice, or formal inquiry.

3.2. No Guarantee of Tenure. Acceptance into Project Youth, placement in a team, or assignment to a project does not guarantee any minimum period of engagement, regardless of verbal promises or initial onboarding projections.

3.3. Immediate Removal Authority. Management, HR leads, and designated Operations Officers possess the authority to immediately revoke platform access, suspend active work, and terminate participation without prior review if an operational risk or conduct violation is identified.

SECTION 4: ZERO-TOLERANCE GROUNDS FOR IMMEDIATE TERMINATION

Personnel are subject to immediate summary dismissal, revocation of access, and forfeiture of all accrued benefits, recommendations, and certificates upon committing any of the following acts:

4.1. Non-Performance and Unexcused Absences.

  • Missing a designated project deadline without a written waiver granted at least 24 hours in advance by a designated Team Lead.

  • Failing to log activity, update tracking systems (e.g., Trello, Google Sheets), or submit daily/weekly status reports for two (2) consecutive work cycles.

  • Unexcused failure to attend mandatory virtual or physical meetings (e.g., Google Meet calls).

4.2. Subpar Work Quality and Negligence.

  • Repeated failure to meet prescribed project specifications, branding standards, or technical requirements.

  • Demonstrating gross incompetence or carelessness resulting in delays to internal timelines or external client deliverables.

4.3. Insubordination.

  • Refusal to carry out reasonable, lawful directives issued by Management, Department Heads, or designated Team Leaders.

  • Challenging administrative authority or directives publicly within team channels.

4.4. Unprofessional Communication and Conduct.

  • Using profane, abusive, condescending, derogatory, or inappropriate language toward colleagues, leadership, clients, or third parties.

  • Engaging in arguments, public call-outs, or toxic behavior in group communication channels (WhatsApp, Trello, Google Meet).

4.5. Confidentiality and IP Breaches.

  • Sharing internal documentation, project files, client lists, recruitment frameworks, or business processes with non-authorized individuals.

  • Retaining, copying, or distributing proprietary assets without explicit written authority.

4.6. Misrepresentation.

  • Falsifying credentials, educational status, experience, or identity during recruitment or tenure.

  • Misrepresenting one's authority level or acting as an official spokesperson for Project Youth without written clearance from Management.

SECTION 5: FORFEITURE OF CERTIFICATES AND RECOMMENDATIONS

5.1. Strict Completion Mandate. Certificates of Completion, Letters of Recommendation, LinkedIn endorsements, and professional references are privileges, not rights. They are granted solely at the discretion of Management upon full satisfaction of all contractual obligations.

5.2. Immediate Forfeiture Triggers. A candidate automatically forfeits all eligibility for certificates and references if:

  • They are terminated for cause under Section 4 of these Terms.

  • They voluntarily resign prior to completing their agreed-upon minimum term (e.g., 6 months for interns).

  • They fail to complete offboarding procedures or surrender company assets.

  • They fail to maintain an average performance evaluation score above the internal passing threshold set by HR.

5.3. Revocation of Prior Issuances. Project Youth reserves the right to retroactively revoke and invalidate any previously issued certificate or letter of recommendation if post-departure misconduct, breach of NDA, or misrepresentation during tenure is subsequently discovered.

SECTION 6: DIGITAL PLATFORM AND COMMUNICATION PROTOCOLS

6.1. Authorized Channels. All official communications, task assignments, and asset transfers must occur strictly within designated official channels (e.g., official WhatsApp groups, Trello boards, Google Workspace, institutional email addresses). Personal or unofficial side channels for official business are strictly prohibited unless authorized.

6.2. Response Timelines. Personnel are required to check official communication channels daily during working days. Failure to acknowledge direct tags, urgent updates, or official notices within 24 hours without prior leave approval constitutes unexcused absence and grounds for disciplinary action.

6.3. Digital Hygiene and Security. Personnel are responsible for maintaining the security of their credentials. Sharing login access to Project Youth software accounts, administrative dashboards, or shared drives is grounds for immediate termination.

SECTION 7: INTELLECTUAL PROPERTY AND OWNERSHIP

7.1. Work for Hire. All work product—including concepts, graphic designs, software code, marketing campaigns, training materials, databases, client lead lists, written scripts, video edits, and operational manuals—created, developed, or submitted by Personnel during their engagement with Project Youth shall immediately become the sole and exclusive property of Project Youth.

7.2. Moral Rights Waiver. To the extent permitted by law, Personnel unconditionally waive all moral rights, copyright claims, or royalty entitlements in any work created for or submitted to Project Youth.

7.3. Post-Termination Prohibition. Ex-members, terminated agents, and alumni are strictly prohibited from using, portfolio-publishing (without written permission), selling, or repurposing any internal templates, strategies, or assets created during their tenure.

SECTION 8: CONFIDENTIALITY AND NON-DISCLOSURE

8.1. Definition of Confidential Information. Confidential Information includes all non-public data related to Project Youth’s operational strategies, member databases, financial details, technical specifications, recruitment tests, legal documents, client identities, and internal communications.

8.2. Obligation of Secrecy. Personnel must maintain strict secrecy regarding all Confidential Information during and perpetually after their engagement.

8.3. Penalties for Breach. Unauthorized disclosure of Confidential Information will result in immediate termination, permanent blacklisting, formal reporting to educational institutions/employers, and potential civil legal remedies under the laws of Bangladesh.

SECTION 9: CONFLICT OF INTEREST AND NON-SOLICITATION

9.1. Competing Activities. Personnel shall not engage in, operate, advise, or assist any competing venture, project, or organization that directly conflicts with the activities, programs, or business lines of Project Youth during their tenure without explicit written clearance.

9.2. Non-Solicitation of Team Members. During engagement and for a period of twelve (12) months following departure, former Personnel shall not directly or indirectly solicit, recruit, or entice any current member, intern, or remote agent of Project Youth to leave the Organization.

9.3. Non-Solicitation of Clients. Former Personnel shall not contact, solicit, or perform services for any client, partner, or sponsor introduced to them through Project Youth for a period of twelve (12) months post-termination.

SECTION 10: PERFORMANCE EVALUATION AND MONITORING

10.1. Continuous Evaluation. Project Youth utilizes ongoing key performance indicators (KPIs), peer reviews, and supervisor tracking. Management reserves the right to reassign, demote, or change the role of any Personnel based on performance evaluations at any time.

10.2. Monitoring Rights. Management reserves the right to monitor activity, task progress, commit logs, and operational communications across all company-owned digital platforms, shared drives, and project management tools.

SECTION 11: RESIGNATION AND NOTICE PERIOD

11.1. Required Notice. Should a Member or Intern wish to resign prior to the standard end of their tenure, they must provide a minimum of 14 calendar days' written notice to HR and Management.

11.2. Effect of Resignation. Submission of a resignation does not guarantee receipt of an internship certificate or recommendation letter. Standard policies under Section 5 remain fully applicable.

11.3. Immediate Release. Management reserves the right to accept a resignation immediately and waive the 14-day notice period, revoking platform access on the date of notice.

SECTION 12: DISCIPLINARY ACTIONS PROCEDURE

12.1. Discretionary Process. Project Youth is not required to follow a progressive discipline model (e.g., verbal warning -> written warning -> termination). Management may proceed directly to immediate termination based on the severity of the infraction.

12.2. Formal Warnings. If Management chooses to issue a formal Warning Notice, the Personnel must correct the specified deficiency within forty-eight (48) hours. Failure to meet the correction criteria results in immediate dismissal.

SECTION 13: ASSET RECOVERY AND OFFBOARDING

13.1. Mandatory Offboarding. Upon termination or resignation, Personnel must complete the formal offboarding process within three (3) calendar days.

13.2. Surrender of Access. Personnel must immediately transfer ownership of all digital assets, documents, access codes, project files, and social media handles to Management, and subsequently delete any local copies in their possession.

13.3. Withholding of Approvals. No final sign-offs, clearances, or certificates will be processed until offboarding compliance is certified by the HR Department.

SECTION 14: CODE OF HONESTY AND ACADEMIC/PROFESSIONAL INTEGRITY

14.1. Plagiarism and AI Misuse. Submitting plagiarized content, unauthorized third-party work, or unverified AI-generated content where original work was assigned constitutes fraud and results in immediate dismissal.

14.2. Falsification of Records. Any attempt to log fake hours, alter task timestamps, or mark uncompleted work as completed on project management tools (e.g., Trello) will be treated as gross misconduct.

SECTION 15: LIMITATION OF LIABILITY

15.1. No Financial Claims. Project Youth, its founders, directors, and managers shall not be liable for any direct, indirect, incidental, or consequential damages arising from engagement, termination, technical failures, or program changes.

15.2. Voluntary Participation. All Personnel acknowledge that participation in Project Youth activities, internships, and remote workflows is strictly voluntary.

SECTION 16: INDEMNIFICATION

Personnel agree to defend, indemnify, and hold harmless Project Youth, its leadership, and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in any way connected with their breach of these Terms, negligence, or unauthorized actions during or after their tenure.

SECTION 17: SEVERABILITY AND GOVERNING LAW

17.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

17.2. Governing Law. These Terms, operational policies, and any legal disputes arising out of participation in Project Youth are governed by, construed, and enforced in accordance with the substantive laws of the People's Republic of Bangladesh.

17.3. Jurisdiction. Any legal actions or proceedings related to Project Youth shall be subject to the exclusive jurisdiction of the competent courts located in Dhaka, Bangladesh.

SECTION 18: ACKNOWLEDGMENT OF UNDERSTANDING

BY JOINING PROJECT YOUTH, ACCEPTING ASSIGNMENTS, ACCESSING INTERNAL DIGITAL PLATFORMS, OR MAINTAINING AN ACTIVE ROLE WITHIN THE ORGANIZATION, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY ALL TERMS, CONDITIONS, RESTRICTIONS, AND TERMINATION CLAUSES OUTLINED IN THIS DOCUMENT.

1. Agreement to Terms

Welcome to Project Youth. These Terms and Conditions, govern your use of Project Youth's services, programs, trainings, events, and digital platforms. By accessing or using our Services, you agree to be bound by these Terms.

If you are under 18, you must have your parent or legal guardian review and agree to these Terms on your behalf. By using our Services, you represent that you have obtained all necessary consents.

2. About Project Youth

Project Youth prepares young people (ages 13-25) for real-world success through experiential learning, corporate training simulations, mentorship, and professional development. We bridge academic learning with professional requirements.

Our Services Include:

  • Corporate simulation programs

  • Professional skills workshops

  • Internship preparation assistance

  • Mentorship matching

  • Real-world project challenges

  • Leadership development

  • Career exploration experiences

  • Networking events

  • Digital learning platforms

  • Certification programs

3. Eligibility and Registration

Age Requirements:

  • Ages 13-17: May participate with verified parental consent

  • Ages 18-25: May participate independently

Registration Process:

  1. Complete online application

  2. Submit required documentation

  3. Complete assessment if required

  4. Payment of applicable fees

  5. Agreement to these Terms

  6. Completion of pre-program orientation

Account Security:
You are responsible for maintaining confidentiality of your account credentials and all activities under your account.

4. Program Participation

Commitment Expectations:

  • Attend scheduled sessions punctually

  • Complete assigned preparations

  • Participate actively and respectfully

  • Adhere to program schedules

  • Engage professionally with mentors and peers

  • Complete evaluations and provide feedback

Corporate Training Components:

  • Simulation of corporate environments

  • Interaction with business professionals

  • Handling realistic business scenarios

  • Use of professional tools and software

  • Performance in team-based projects

  • Presentation to corporate evaluators

5. Fees and Payment

Program Fees:

  • Fees vary by program type and duration

  • Scholarships available for eligible participants

  • Corporate-sponsored programs may be subsidized

  • Fee schedules published for each program

Payment Terms:

  • Due dates specified at registration

  • Payment plans available

  • Late payment penalties may apply

  • All fees in [BDT/JPY]

What Fees Include:

  • Program materials and resources

  • Trainer and facilitator costs

  • Venue and equipment usage

  • Administrative support

  • Certification costs

  • Meals during full-day programs

  • Transportation for organized site visits

6. Cancellation and Refund Policy

Participant Cancellation:

  • 30+ days before start: Full refund minus administrative fee

  • 15-29 days before start: 50% refund

  • 8-14 days before start: 25% refund

  • 7 days or less: No refund

Program Cancellation by Project Youth:
We reserve the right to cancel programs due to insufficient enrollment or unforeseen circumstances. Full refunds provided in such cases.

Medical/Emergency Cancellations:
Documented emergencies may qualify for program credit or partial refunds at our discretion.

7. Intellectual Property

Our Intellectual Property:
All Project Youth content, including training materials, methodologies, digital content, assessment tools, and branding, are protected by intellectual property laws.

Participant-Created Content:
Participants retain ownership of work created during programs but grant Project Youth non-exclusive license for educational and promotional purposes.

Usage Rights:
Participants may use materials for personal education but may not reproduce, distribute, or use for commercial purposes without permission.

8. Code of Conduct

Professional Behavior Expected:

  • Treat all individuals with respect

  • Maintain professional language and behavior

  • Respect diversity of backgrounds

  • Engage constructively in discussions

  • Maintain confidentiality

  • Represent yourself honestly

Prohibited Behaviors:

  • Harassment or discrimination

  • Bullying or abusive behavior

  • Disruption of programs

  • Academic dishonesty

  • Unauthorized recording

  • Damage to property

  • Use of substances during programs

  • Bringing weapons to activities

Digital Conduct:

  • Maintain respectful communication

  • Protect personal privacy

  • Report technical issues

  • Use platforms only for intended purposes

  • Respect intellectual property

9. Safety and Liability

Safety Protocols:

  • Background checks for staff

  • Safety training for facilitators

  • Emergency action plans

  • Appropriate supervision ratios

  • Health and safety guidelines

  • Incident reporting procedures

Assumption of Risk:
Participants acknowledge some activities involve inherent risks, including corporate site visits, travel, and physical activities.

Liability Limitations:
Project Youth is not liable for injuries from participant negligence, loss of personal property, actions of third parties, or employment outcomes.

Insurance:
We maintain general liability, accident insurance for participants, and professional liability coverage.

10. Corporate Partnerships and Internships

Partnership Arrangements:
We collaborate with corporate partners to provide real-world training scenarios, professional mentors, site visits, project challenges, and networking opportunities.

Internship Placement:
While we facilitate connections, placement is not guaranteed. Final selection is made by partner companies. Internship terms are between participant and employer.

Professional Expectations:

  • Maintain professional demeanor

  • Adhere to partner company policies

  • Respect confidentiality

  • Represent Project Youth positively

  • Follow safety protocols

11. Privacy and Data Protection

Data Collection:
We collect information necessary for program administration, safety, progress tracking, communication, research, and legal compliance.

Data Sharing:
We may share with program facilitators, corporate partners (for program purposes), educational institutions, research partners, emergency services, and parents/guardians.

Data Protection:
We implement secure storage, access controls, encryption, regular audits, data minimization, and retention policies.

12. Performance and Evaluation

Assessment Methods:

  • Skills assessments and simulations

  • Project presentations

  • Professional behavior observations

  • Peer and mentor feedback

  • Self-reflection exercises

  • Portfolio reviews

Certificates and Recognition:

  • Certificates of completion

  • Skill badges or micro-credentials

  • Performance summaries

  • Recommendations upon request

13. Termination and Suspension

Our Rights:
We may suspend or terminate participation for violation of Terms, detrimental behavior, non-payment, safety concerns, or false information.

Participant Rights:
Participants may withdraw following cancellation policy guidelines with written notice.

Appeals Process:
Termination decisions may be appealed in writing within 7 days through formal review.

14. Parental Responsibilities (For Minors)

Consent Requirements:
Parents/guardians must review and agree to Terms, complete consent forms, provide emergency contact, verify health information, and authorize participation.

Communication:
Parents receive program information, progress reports, notifications of concerns, and invitations to events.

Support Role:
Parents are encouraged to support preparation, encourage participation, reinforce professional behaviors, and engage with program staff.

15. Dispute Resolution

Informal Resolution:
We encourage direct communication, discussion with staff, and early resolution.

Formal Process:
If informal resolution fails, written complaint submission leads to review by Program Director with possible mediation.

Arbitration Agreement:
By agreeing to these Terms, you agree disputes will be resolved through binding arbitration in [City, State], with each party bearing own costs.

16. Modifications to Terms

Updates:
We may modify Terms to reflect program changes, comply with legal requirements, or improve operations.

Notification:
Changes communicated via email, website posting, and program materials with reasonable notice.

Continued Acceptance:
Continued use constitutes acceptance of modified Terms.

17. Force Majeure

Not liable for delays or failures due to circumstances beyond our control including natural disasters, government actions, pandemics, utility failures, or transportation disruptions. We will make reasonable efforts to reschedule, provide alternatives, issue refunds, and communicate clearly.

18. General Provisions

Entire Agreement:
These Terms constitute complete agreement between you and Project Youth.

Severability:
If any provision is unenforceable, remaining provisions remain in effect.

No Waiver:
Failure to enforce any provision does not waive right to enforce later.

Governing Law:
Governed by laws of [Bangladesh].
